1. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Apollo Approach Inc., an Ontario corporation operating under the trade name RentReady Media ("Company," "we," "us," or "our").

By accessing or using our website at rentreadymedia.com, our scheduling platform, or our Machine-Readable API (the "MCP Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Definitions

Service — LiDAR scanning, 3D modelling, virtual staging, and related media production services offered by RentReady Media.

Platform — The website, booking system, and MCP API collectively.

MCP API — The Model Context Protocol server endpoint that allows third-party AI agents to query availability, create bookings, and process payments programmatically.

AI Agent — Any automated software, large language model, chatbot, or programmatic client that connects to the MCP API on behalf of a human User.

Retail Client — A User who pays for services upfront via our payment processor at the time of booking.

B2B Client — An existing client with an invoicing relationship who books services via identity verification (SMS or email code).

3. Services Offered

RentReady Media provides professional real estate media services including LiDAR 3D Scanning, 3D Virtual Tours, Virtual Staging, and Photography & Videography. Service availability, pricing, and scheduling are subject to change without prior notice.

4. Account and Booking

4.1 Booking Channels — Bookings may be placed through the RentReady Media website, direct communication with our team, or third-party AI agents acting on your behalf via the MCP API.

4.2 Human Authorization Requirement — All bookings require explicit human authorization before they are finalized. No booking can be completed without: (a) Retail Clients completing payment through Stripe, or (b) B2B Clients successfully verifying via a one-time code sent to their registered phone number or email address. An AI agent cannot unilaterally finalize a booking without this human-in-the-loop step.

4.3 Accuracy of Information — You are responsible for the accuracy of all information provided during booking, whether submitted personally or through an AI agent acting on your behalf.

5. MCP API Terms of Use

5.1 Acceptable Use — The MCP API is provided for enabling authorized AI agents to facilitate bookings on behalf of human users. You agree not to spam, abuse, or overload our systems; not to circumvent authentication or rate limiting; not to reverse-engineer or scrape the API; and not to hold timeslots without genuine booking intent.

5.2 Authentication — Access to the MCP API requires cryptographic authentication via Demonstration of Proof-of-Possession (DPoP). We reserve the right to revoke access at any time.

5.3 Rate Limiting — The MCP API enforces rate limits. Excessive requests may result in throttling. We are not liable for interruptions caused by rate limiting.

5.4 AI Agent Liability — If you authorize an AI agent to act on your behalf, you remain fully responsible for all bookings, payments, and commitments made by that agent.

6. Payment Terms

6.1 Retail Clients — Payment is required at booking via Stripe. Prices are in Canadian Dollars (CAD) unless otherwise specified.

6.2 B2B Clients — Invoices are due within 30 days. Late payments are subject to 1.5% monthly interest.

6.3 Cancellation Policy — 48+ hours: full refund. 24–48 hours: 50% refund. Less than 24 hours or no-show: no refund.

7. Intellectual Property

Upon full payment, the Client receives a non-exclusive, perpetual license to use delivered media for property marketing purposes. RentReady Media retains the right to use anonymized versions for portfolio and marketing unless the Client requests otherwise in writing.

All website content is the property of Apollo Approach Inc. and is protected by Canadian copyright law.

8. Privacy and Data Handling

We collect personal information necessary to provide services. When an AI agent connects via the MCP API, we log connection timestamps, tool invocations, and verification events. We do not log AI conversation content.

OTP codes are deleted after 5 minutes. Booking records are retained for 7 years. API logs are retained for 90 days.

Under PIPEDA, you have the right to access, correct, or request deletion of your personal information. Contact us at privacy@rentreadymedia.com.

9. Limitation of Liability

We are not liable for bookings made by AI agents that do not reflect your intent, miscommunication between you and an AI agent, or financial loss from unauthorized API use.

Total aggregate liability shall not exceed the total fees paid by you in the preceding twelve (12) months.

10. Indemnification

You agree to indemnify Apollo Approach Inc. from any claims arising from your use of the Platform or MCP API, breach of these Terms, or actions taken by an AI agent authorized by you.

11. Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Both parties agree to attempt informal resolution via legal@rentreadymedia.com before formal proceedings.

Legal proceedings shall be brought exclusively in the courts of Ontario.

12. Modifications

We may modify these Terms at any time. Material changes will be communicated via the website and email to registered clients. Continued use constitutes acceptance.
